Eubelius is proud that, on 20 July 2017, the federal council of ministers has approved the pre-draft for a new Code of Companies and Associations, and that Marieke Wyckaert (one of the four experts) as well as Alain François, Frank Hellemans, Matthias Wauters and Felix Dobbelaere have delivered an important contribution to this.
Marieke Wyckaert explains: “This draft introduces a clear distinction between companies and associations (on the basis of profit distribition capacity, regardless of the activity) and makes our company law again modern and competitive. The whole code has been modernized and streamlined, and, where possible, simplified, but also creates room for tailor made agreements. The most important innovation is undoubtedly the Private Limited without a capital, but also for the Public Limited important amendments are being proposed”.
