VDL’s acquisition of Van Hool’s Bus & Car division cleared by Belgian competition watchdog

17 July 2024

Eubelius advised VDL, an international industrial and manufacturing company, on the merger control aspects of acquiring the bus and coach division of Van Hool, a Belgian company known for the manufacturing of buses, coaches, and trailers, following the latter’s declaration of bankruptcy.

The Eubelius Competition Team guided VDL, alongside law firm AKD, throughout a complex and particularly urgent merger control procedure before the Belgian Competition Authority. VDL obtained an exemption form the Authority’s President to proceed with an early implementation of the deal, subject to hold separate commitments, allowing for a much-needed speedy restart of activities. Following close cooperation with the Authority, the acquisition is cleared unconditionally on 17 July 2024.

Through this project, Kim Gillade, supported by Matthias Dolhain, members of the Eubelius competition team, were able to showcase their proficiency in handling merger filings in a delicate and urgent context.
